Acceptance of terms

These Terms of Service (hereinafter the “Terms”) constitute a legally binding agreement between you and Acquir Technologies (hereinafter “Vetsy”, “we”, “us” or “our”) and govern your access to and use of the Vetsy mobile application for pet owners, the Vetsy Partners mobile application for veterinarians and the website at vetsy.in (collectively, the “Platform”).

By downloading, installing, registering on, accessing or otherwise using the Platform, you acknowledge that you have read, understood and agreed to be bound by these Terms, the Privacy Policy and the Cancellation and Refund Policy, each of which is incorporated herein by reference. If you do not agree to these Terms, you shall not access or use the Platform.

These Terms are an electronic record within the meaning of the Information Technology Act, 2000 and the rules made thereunder, and are generated by a computer system without the requirement of any physical or digital signature.

Definitions

In these Terms, unless the context otherwise requires:

“Pet Owner”

means a person who uses the Platform to obtain veterinary services for an animal in that person’s care.

“Veterinarian”

means a veterinary practitioner registered with the Veterinary Council of India or a State Veterinary Council under the Indian Veterinary Council Act, 1984, who has been approved by Vetsy to render services through the Platform.

“Services”

means home visits, vaccinations, Teleconsultations and such other services as are made available through the Platform from time to time.

“Teleconsultation”

means a consultation between a Pet Owner and a Veterinarian conducted by video or voice call through the Platform.

“Health Record”

means the record of an animal maintained on the Platform, including vaccinations, prescriptions, medicines, reports and visit notes.

“Vetsy AI”

means the automated assistant on the Platform that responds to general questions relating to pet care.

“User”, “you” or “your”

means any person who accesses or uses the Platform, including a Pet Owner and a Veterinarian.

Words importing the singular include the plural and vice versa, and the words “include” and “including” shall be construed without limitation.

Eligibility

Use of the Platform is available only to persons who are at least 18 (eighteen) years of age and competent to contract within the meaning of the Indian Contract Act, 1872. By using the Platform, you represent and warrant that you satisfy these requirements.

Nature of the Platform

The Platform enables Pet Owners to engage Veterinarians for home visits and Teleconsultations, to maintain a Health Record for each animal together with reminders, to hold a vaccination card and certificate verifiable at vetsy.in/verify, and to ask Vetsy AI general questions relating to pet care.

Vetsy is a technology platform. Vetsy is not a veterinary clinic or hospital, does not practise veterinary medicine and is not a medical device. All veterinary services are rendered by Veterinarians, who are independent professionals and are solely responsible for their clinical judgment, advice, prescriptions and treatment. Nothing in these Terms shall be construed as creating any relationship of employment, agency or partnership between Vetsy and any Veterinarian.

Account registration

1. A Pet Owner shall register by signing in with Google and verifying a mobile number. A Veterinarian shall register by submitting registration particulars and supporting documents, and shall render Services only after the application has been approved by Vetsy.
2. You shall provide information that is true, accurate, current and complete, and shall keep such information updated.
3. You shall maintain the confidentiality of your sign-in credentials and shall be solely responsible for all activities carried out through your account.

Emergencies

THE PLATFORM IS NOT AN EMERGENCY SERVICE AND A VETERINARIAN MAY NOT BE AVAILABLE AT THE TIME YOU REQUIRE ONE. If an animal is in immediate danger, including difficulty in breathing, heavy bleeding, collapse, seizures or suspected poisoning, you shall take the animal to the nearest veterinary clinic or hospital without delay.

Veterinarians

1. Upon a Veterinarian joining the Platform, Vetsy verifies that the Veterinarian is registered with the Veterinary Council of India or a State Veterinary Council. The name, qualification and registration number of the Veterinarian are displayed to Pet Owners.
2. Such verification is limited to the fact of registration and shall not constitute a warranty or guarantee of the competence of any Veterinarian or the outcome of any treatment.
3. Vetsy may investigate any complaint concerning the care or conduct of a Veterinarian and may, at its discretion, suspend or remove a Veterinarian from the Platform. Veterinarians are additionally bound by the Veterinary Partner Policy.

Home visits

1. A request for a home visit is offered to Veterinarians in the vicinity of the address provided. A visit shall be deemed confirmed only upon its acceptance by a Veterinarian and the notification of such acceptance to the Pet Owner. Vetsy does not warrant the availability of a Veterinarian at any particular time or location.
2. The Pet Owner shall be present at the address at the agreed time. The Veterinarian shall wait for a period of up to 15 (fifteen) minutes.
3. The Pet Owner shall keep the animal suitably restrained, provide a safe environment in which to work, and disclose truthfully the history and behaviour of the animal and any risk of biting.
4. The Veterinarian shall determine what is clinically appropriate at the visit and may administer a vaccine other than the one booked, or decline to vaccinate or treat, upon communicating the reasons therefor.
5. Visits may be cancelled or rescheduled in accordance with the Cancellation and Refund Policy.

Teleconsultations

1. A Teleconsultation is a consultation at a distance. The Veterinarian cannot physically examine the animal and may recommend a home visit or attendance at a clinic.
2. The initiation of a Teleconsultation is free of charge. Where the Veterinarian issues a prescription, the consultation fee displayed in the application shall be payable in order to access the prescription in full.
3. Vetsy does not record Teleconsultations. No User shall record a Teleconsultation without the consent of the other participant.

Prescriptions, medicines and health records

1. A prescription issued through the Platform is issued by the Veterinarian who attended the animal and is valid solely for that animal. Medicines shall be administered as directed, and a Veterinarian shall be consulted before any course is altered or discontinued.
2. Vetsy does not sell, dispense or deliver medicines.
3. Records created by a Veterinarian are attributed to that Veterinarian. Records added by a Pet Owner constitute the Pet Owner’s own statement, for the accuracy of which the Pet Owner shall be solely responsible.
4. Where a Veterinarian adds a record for an animal otherwise than in the course of a booking made on the Platform, a fee displayed in the application may be payable for the record to be added to the Health Record.
5. A vaccination certificate issued through the Platform records the vaccine administered by the named Veterinarian and the date of administration. The acceptance of such certificate for travel, boarding or any other purpose is at the sole discretion of the person or authority requesting it.

Vetsy AI

Vetsy AI is an automated system that provides general information relating to pet care. Vetsy AI is not a Veterinarian, and its responses do not constitute a diagnosis, prescription or treatment plan. Responses may be inaccurate or incomplete. You shall not rely upon Vetsy AI for any decision material to the health of an animal, or in an emergency, and shall consult a Veterinarian instead. You shall not use Vetsy AI to generate any content that is unlawful, abusive or harmful.

Fees and payment

1. The price of each visit, vaccine or consultation shall be displayed in the application before confirmation.
2. The fee for a home visit is payable upon completion of the visit, online through the application. No amount is collected in advance.
3. Payments are processed by a third-party payment gateway. Vetsy does not store card or UPI details.
4. Prices are inclusive of applicable taxes unless otherwise stated in the application. Vetsy may revise prices from time to time; provided that no revision shall apply to a visit already confirmed.
5. Refunds shall be governed by the Cancellation and Refund Policy.

Restrictions on use

You shall not, and shall not permit any person to:

1. provide false information or use the account of any other person;
2. abuse, threaten, harass or intimidate any Veterinarian, User or member of Vetsy’s personnel;
3. request a Veterinarian to do anything unlawful or outside the scope of the veterinary profession;
4. arrange or pay for any service with a Veterinarian introduced through the Platform outside the Platform with a view to avoiding the fees payable thereon; or
5. copy, scrape, reverse-engineer, decompile, disrupt or interfere with the Platform, or use the Platform to transmit unsolicited messages or malicious code.

Content and intellectual property

1. All photographs, notes and records uploaded by you shall remain your property. You hereby grant Vetsy a non-exclusive, royalty-free licence to store such content and to display it to you and to the Veterinarians treating your animal, solely for the purpose of providing the Services.
2. All rights, title and interest in and to the Platform, including the Vetsy name and logo, the applications, the website and all intellectual property therein, vest in Vetsy. Nothing in these Terms confers upon you any right to use the same otherwise than for the purpose of using the Platform.

Third-party services

The Platform relies upon services provided by third parties, including for sign-in and payment processing. Your use of such services may be subject to the terms and policies of the respective providers, and Vetsy shall not be responsible for the acts or omissions of such providers.

Disclaimer of warranties

THE PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VETSY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTY THAT THE PLATFORM WILL BE UNINTERRUPTED OR ERROR-FREE, THAT A VETERINARIAN WILL BE AVAILABLE AT ANY PARTICULAR TIME, OR THAT ANY INFORMATION PROVIDED BY VETSY AI IS ACCURATE OR COMPLETE. VETSY DOES NOT WARRANT THE OUTCOME OF ANY VETERINARY SERVICE.

Limitation of liability

Vetsy shall exercise reasonable care and skill in operating the Platform, arranging visits and Teleconsultations, maintaining records and processing payments. The Veterinarian shall be solely responsible for the veterinary care rendered.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: (A) VETSY SHALL NOT BE LIABLE FOR ANY LOSS ARISING FROM EVENTS BEYOND ITS REASONABLE CONTROL, INCLUDING NETWORK FAILURE, FLOOD, STRIKE OR GOVERNMENTAL ORDER, OR FROM ANY INFORMATION PROVIDED BY YOU THAT IS INACCURATE OR INCOMPLETE; AND (B) THE AGGREGATE LIABILITY OF VETSY TO YOU IN RESPECT OF ANY VISIT, CONSULTATION OR OTHER SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO VETSY FOR THAT SERVICE.

Nothing in these Terms shall limit any liability that cannot be limited under applicable law, or prejudice your rights under the Consumer Protection Act, 2019.

Indemnity

You shall indemnify and hold harmless Vetsy, its co-founders, employees and agents from and against any claim, demand, loss, damage, cost or expense, including reasonable legal fees, arising out of or in connection with your breach of these Terms or your violation of any law or of the rights of any third party.

Suspension and termination

1. You may delete your account at any time from within the application or on the account deletion page.
2. Vetsy may suspend or terminate any account that is in breach of these Terms, that endangers any Veterinarian or other person, or that is used for any fraudulent purpose. Where practicable, Vetsy shall inform the User of the reason for such action.
3. Notwithstanding termination, all amounts due for Services already received shall remain payable.

Grievance redressal

Any complaint concerning the Platform or the Services may be addressed to the Grievance Officer, whose details are set out below:

Amendments

Vetsy reserves the right to amend these Terms from time to time. Where an amendment is material, Vetsy shall notify registered Users through the application or by email before the amendment takes effect. Your continued use of the Platform thereafter shall constitute acceptance of the amended Terms. The effective date stated at the top of these Terms indicates when they were last revised.

Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Subject to your right to approach any consumer commission or other forum under the Consumer Protection Act, 2019, the courts at Guwahati, Assam shall have exclusive jurisdiction over all disputes arising out of or in connection with these Terms.

Miscellaneous

1. Severability. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be enforced to the maximum extent permissible and the remaining provisions shall continue in full force and effect.
2. Waiver. No failure or delay by Vetsy in exercising any right hereunder shall operate as a waiver thereof.
3. Assignment. You shall not assign or transfer any right or obligation under these Terms without the prior written consent of Vetsy.
4. Entire agreement. These Terms, together with the documents referred to herein, constitute the entire agreement between you and Vetsy with respect to the Platform and supersede all prior understandings relating thereto.
